PLEASE READ CAREFULLY. By reviewing these Terms and Conditions and participating in the EZlocal User Reward Program you agree to the following rules governing the EZlocal User Reward Program.

A. Overview of the EZlocal User Reward Program

1. The EZlocal User Reward Program (the “Program”) is a rewards program sponsored by EZlocal.com, Inc. (“Sponsor”) through which individuals can collect points by writing business reviews on EZlocal.com, submitting business photographs to EZlocal.com, or through other methods as may be added from time to time.

2. Individuals may redeem their points for preselected rewards at http://ezlocal.com/ (the “Website”) as they reach each designated reward level.

B. Eligibility

The Program is open to legal residents of the 50 United States (or the District of Columbia) who are 18 years or older at the time of sign up and have the requisite power and authority to enter into these Terms. You may not access or use the Program if you are a competitor of ours or if we have previously banned you from the Program or closed your account. The Program is void where prohibited by law.

C. Duration of Program

Sponsor reserves the right to shorten, extend, suspend, modify, or cancel the Program, at its discretion, at any time.

D. Enrolling in the Program

1. Individuals who are 18 years of age or older who meet the eligibility requirements may enroll in the Program at the Website. To enroll, navigate to http://ezlocal.com/contribute and follow the onscreen instructions to create an EZlocal User Account (“Account”). Once participants verify their email address they will be enrolled in the program (each an “Enrollee”). The number of points collected by each such Enrollee will be recorded and tracked in the Enrollee’s Account.

2. How to Create Your EZlocal User Account: Once on the Website, individuals who do not already have an existing Account can navigate to http://ezlocal.com/contribute and follow the instructions to create an Account. An individual must have a unique, valid email address to create an Account. Limit: 1 Account per person, 1 Account per household and 1 account per physical address under all circumstances. The person who is the authorized email account holder of the email address indicated when registering must provide shipping information when registering for an Account and will be deemed the Enrollee.

E. Collecting Points

1. Upon successfully registering an Account the Enrollee will be awarded bonus points. Bonus Points are defined as points collected by means other than (a) submitting a business review to EZlocal.com and/or (b) submitting a business photograph to EZlocal.com.

2. Enrollees will be awarded 10 points for submitting a business review to EZlocal.com. Limit: 2 reviews per day. Days will begin at 12:00:00 AM UTC and end at 11:59:59 PM UTC. Please read EZlocal’s Review Guidelines.

3. Enrollees will be awarded 2 points for submitting a business photograph to EZlocal.com. Limit: 5 photographs per day. Days will begin at 12:00:00 AM UTC and end at 11:59:59 PM UTC. Please read EZlocal’s Photograph Guidelines.

4. Sponsor reserves the right to change, add, or remove the methods by which Enrollees can collect points. Enrollees are responsible for the payment of all taxes which may result from the reward(s) received as part of the Program.

5. Points may be awarded through other methods as may be added from time to time.

6. Enrollees may accrue no more than 210 points per Account, per week. For purposes of this limit, a week is defined as beginning at 12:00:00 AM UTC each Monday and ending at 11:59:59 PM UTC the following Sunday. Bonus Points are not included in the 210 point per week limit.

7. Enrollees may be awarded 20 bonus points for submitting an editorial review to EZlocal.com. All editorial reviews are subject to a manual review and bonus points will not be awarded until the editorial review is approved by EZlocal. Limit: 1 editorial review per week. For purposes of this limit, a week is defined as beginning at 12:00:00 AM UTC each Saturday and ending at 11:59:59 PM UTC the following Friday. Please read EZlocal’s Editorial Review Guidelines.

8. Enrollees may not submit the same business review for multiple business listings. Any attempt to submit the same business review across multiple business listings will result in disqualification from the Program and forfeiture of all points in the Enrollee’s Account. Sponsor reserves the right to take any action it deems appropriate in its sole discretion in the event that it believes (in its sole discretion) that any Enrollee has violated any of these provisions. 9. Enrollees may not submit the same business photograph for multiple business listings. Any attempt to submit the same business photograph across multiple business listings will result in disqualification from the Program and forfeiture of all points in the Enrollee’s Account. Sponsor reserves the right to take any action it deems appropriate in its sole discretion in the event that it believes (in its sole discretion) that any Enrollee has violated any of these provisions. 10. Points that are not obtained in accordance with the following guidelines may be removed from the Enrollee’s Account:

  1. Please read EZlocal’s Review Guidelines.
  2. Please read EZlocal’s Photograph Guidelines.
  3. Please read EZlocal’s Editorial Review Guidelines.

Repeated violations will result in disqualification from the Program and forfeiture of all points in the Enrollee’s Account. Sponsor reserves the right to take any action it deems appropriate in its sole discretion in the event that it believes (in its sole discretion) that any Enrollee has violated any of these provisions.

11. If an Enrollee believes that points were not properly accrued to his/her Account, the Enrollee must notify Sponsor by using the Customer Service Form, http://ezlocal.com/contribute/contact.aspx, in the Program within 15 days of the date the review or photograph was submitted to EZlocal.com.

F. Redeeming Points

1. After successfully registering an Account the Enrollee will be directed to select the rewards they will receive upon reaching each new reward level. All reward selections are final.

2. The Program has 8 reward levels. Sponsor reserves the right to change, add, or remove reward levels as it deems appropriate (in its sole discretion).

3. An Enrollee will reach Reward Level 1 when they accrue 50 points in their Account. Upon reaching Reward Level 1 the Enrollee will achieve the rank of “Promoter”. EZlocal will then send the Enrollee the reward they selected corresponding to the “Promoter” rank.

4. An Enrollee will reach Reward Level 2 when they accrue 300 points in their Account. Upon reaching Reward Level 2 the Enrollee will achieve the rank of “Super Fan”. EZlocal will then send the Enrollee the reward they selected corresponding to the “Super Fan” rank.

5. An Enrollee will reach Reward Level 3 when they accrue 300 points in their Account. Upon reaching Reward Level 3 the Enrollee will achieve the rank of “Groupie”. EZlocal will then send the Enrollee the reward they selected corresponding to the “Groupie” rank.

6. An Enrollee will reach Reward Level 4 when they accrue 1000 points in their Account. Upon reaching Reward Level 4 the Enrollee will achieve the rank of “Roadie”. EZlocal will then send the Enrollee the reward they selected corresponding to the “Roadie” rank.

7. An Enrollee will reach Reward Level 5 when they accrue 1800 points in their Account. Upon reaching Reward Level 5 the Enrollee will achieve the rank of “Performer”. EZlocal will then send the Enrollee the reward they selected corresponding to the “Performer” rank.

8. An Enrollee will reach Reward Level 6 when they accrue 3000 points in their Account. Upon reaching Reward Level 6 the Enrollee will achieve the rank of “VIP”. EZlocal will then send the Enrollee the reward they selected corresponding to the “VIP” rank.

9. An Enrollee will reach Reward Level 7 when they accrue 5000 points in their Account. Upon reaching Reward Level 7 the Enrollee will achieve the rank of “Celebrity”. EZlocal will then send the Enrollee the reward they selected corresponding to the “Celebrity” rank.

10. An Enrollee will reach Reward Level 8 when they accrue 87000 points in their Account. Upon reaching Reward Level 8 the Enrollee will achieve the rank of “Rockstar”. EZlocal will then send the Enrollee the reward they selected corresponding to the “Rockstar” rank.

11. Enrollees can view their reward selections here: http://ezlocal.com/contribute/profile/rewards/default.aspx. Sponsor reserves the right to change, add, or remove reward selections as it deems appropriate (in its sole discretion).

12. As part of the reward redemption process, you will receive a confirmation email and when applicable, an email containing the actual item you have redeemed in the form of a digital code, coupon, etc. Emails will be sent to the email address assigned to the Enrollee’s Account.

13. Each Enrollee is responsible for ensuring the accuracy of his/her Account and is encouraged to check his/her Account regularly. Each Enrollee is responsible for ensuring that the mailing address associated with his/her Account is accurate and up to date. Sponsor is not responsible for non-receipt of a Reward that was shipped to the mailing address associated with an Enrollee's Account. Changes to Accounts or Account information may only be made by the Enrollee to whom the Account belongs.

14. All reward redemptions are final. Refunds, exchanges and other issues regarding the reward redeemed are not the responsibility of Sponsor.

15. If an Enrollee’s Account has remained inactive for a period of 90 days or more, the Enrollee will forfeit any points remaining in the Account, without compensation. Failure to log in to the Account constitutes inactivity for purposes of this condition.

16. Points have no cash value and are only redeemable for the Rewards offered via the Program.

G. Content

1. Parties 

“You” and “your” refer to you, as an Enrollee of the EZlocal User Reward Program. A "user" is someone who accesses, browses, crawls, scrapes, or in any way uses the Website. "We", "us", and "our" refer to EZlocal.

2. Content

"Content" means text, images, photos, audio, video, location data, and all other forms of data or communication. "Your Content" means Content that you, submit or transmit to, through, or in connection with the Website, such as ratings, reviews, editorial reviews, business photographs, and information that you publicly display or displayed in your account profile. "User Content" means Content that users submit or transmit to, through, or in connection with the Website. "EZlocal Content" means Content that we create and make available in connection with the Website.

3. Responsibility for Your Content

You alone are responsible for Your Content, and once published, it cannot always be withdrawn. You assume all risks associated with Your Content, including anyone's reliance on its quality, accuracy, or reliability, or any disclosure by you of information in Your Content that makes you personally identifiable. You represent that you own, or have the necessary permissions to use and authorize the use of Your Content as described herein. You may not imply that Your Content is in any way sponsored or endorsed by EZlocal.

4. Our Right to Use Your Content

We may use Your Content in a number of different ways, including publicly displaying it, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing others to do the same in connection with their own websites and media platforms ("Other Media"). As such, you hereby irrevocably grant us world-wide, non-exclusive, royalty-free, sublicensable, transferable rights to use Your Content for any purpose. You irrevocably waive, and cause to be waived, against EZlocal and its users any claims and assertions of moral rights or attribution with respect to Your Content. By "use" we mean use, copy, publicly perform or display, distribute, modify, translate, and create derivative works of Your Content.

5. Ownership

As between you and EZlocal, you own Your Content. We own the EZlocal Content, including but not limited to visual interfaces, interactive features, graphics, design, compilation, computer code, products, software, aggregate user review ratings, and all other elements and components of the Website excluding Your Content. You may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the EZlocal Content in whole or in part except as expressly authorized by us. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to the Website and the EZlocal Content are retained by us.

6. Advertising

EZlocal and its licensees may publicly display advertisements and other information adjacent to or included with Your Content. You are not entitled to any compensation for such advertisements. The manner, mode and extent of such advertising are subject to change without specific notice to you.

7. Other

User Content does not necessarily reflect the opinion of EZlocal. We reserve the right to remove, screen, edit, or reinstate User Content from time to time at our sole discretion and without notice to you. We have no obligation to retain or provide you with copies of Your Content, nor do we guarantee any confidentiality with respect to Your Content.

8. Withdrawing Your Content

Enrollees may withdraw their business reviews, business photographs and editorial reviews from publicly displaying on the Website. Withdrawing more than 5% of your content (business reviews, business photographs and editorial reviews) may result in disqualification from the Program and forfeiture of all points in the Enrollee’s Account.

9. Deleting Your Account

Enrollees may delete their EZlocal User Reward Account at any time by completing the Account termination process. Deleting your Account will remove all Your Content from public display on the Website. Deleting your Account will result in complete forfeiture of all points and future rewards.

H. Modifications and Termination of the Program

1. Sponsor reserves the right to modify any of the Terms and Conditions set forth herein - including, but not limited to, the methods by which Enrollees may collect points, the eligible rewards to be redeemed, the number of points associated with the reward levels, the number of actions through which Enrollees may collect points, the number of points that may be collected through the Program, and any of the options made available to Enrollees with respect to their Accounts, at any time, without notice, even though these changes may affect an Enrollee's ability to accrue his/her points.

2. Sponsor reserves the right to terminate or temporarily suspend the Program at any time, for any reason, with notice, even though termination may affect an Enrollee's ability to accrue his/her points.

3. An Enrollee's continued participation in the Program constitutes the Enrollee's acceptance of any changes to these Terms and Conditions. Enrollees are responsible for remaining knowledgeable of any changes that Sponsor may make to these Terms and Conditions. The most current version of these Terms and Conditions, which will indicate the date they were last updated, will be available at the Website and will supersede all previous versions of these Terms and Conditions.

I. General Terms and Conditions

1. To learn how the personal information collected in connection with the Program may be used, participants should read Sponsor's Privacy Policy for the Website which is available at http://ezlocal.com/about/privacy.aspx. The terms of Sponsor's Privacy Policy for the Website are incorporated herein by reference.

2. The Sponsor reserves the right to discontinue the participation privileges of any Enrollee who engages in any fraudulent activity or uses the Program in a manner inconsistent with these Terms and Conditions or with any federal, state or local, laws, statutes or ordinances. Discontinued participation privileges may result in the loss of all accumulated points. In addition, Sponsor shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.

3. Sponsor reserves the right to rescind points credited to an Account which were obtained as a result of fraudulent activity or technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software related to the Program.

4. Points are not the property of an Enrollee and may be revoked at any time by Sponsor as set forth herein. Points may not be transferred or assigned, except as specifically permitted by Sponsor on the Website from time to time.

5. Sponsor is not responsible for any incorrect or inaccurate information supplied by any Enrollee participating in the Program.

6. All questions or disputes regarding eligibility for the Program, collecting or redemption of points, or an Enrollee's compliance with these Terms and Conditions will be resolved by the Sponsor in its sole discretion.

J. Limitation of Liability

1. The Sponsor is not responsible for incorrect or inaccurate transcription of information, for problems related to any of the equipment or programming associated with the Program or utilized by the Enrollee, for any human error, for any interruption, deletion, omission, defect, or line failure of any telephone network, cellular network, or electronic transmission, for problems relating to computer equipment, software, inability to access the Website or online service, or for any other technical or non-technical error or malfunction. In the event of a printing error or irregular packaging, neither EZlocal.com, Inc., nor their respective related companies, parents, subsidiaries, affiliates, and respective agents and their agencies, suppliers and other companies involved in the development or execution of the Program or the production or distribution of Program materials (“Releasees”) shall have any liability. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL ANY OF THE RELEASEES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE PROGRAM OR REWARDS OFFERED THROUGH THE PROGRAM, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF THE SPONSOR IMPROPERLY DENIES AN ENROLLEE ANY POINTS, LIABILITY WILL BE LIMITED TO THE EQUIVALENT NUMBER OF POINTS. BY PARTICIPATING IN THE PROGRAM, AN ENROLLEE WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO SUCH MATTERS IN ANY FORUM BEYOND ONE YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED. TO THE FULLEST EXTENT ALLOWABLE BY LAW, EZLOCAL.COM, INC. SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE REWARDS OFFERED BY THE PROGRAM, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you. Program participants agree to rely solely on the manufacturer's warranties, if any, for any products redeemed through this Program.

2. As a condition of participating in this Program, each Enrollee agrees that (1) any and all disputes, claims, and causes of action arising out of or connected with this Program, or any Rewards obtained through the Program, shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and rewards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Program, but in no event attorneys' fees; and (3) under no circumstances will any Enrollee be permitted to seek recovery for, and Enrollee hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and waives any and all rights to have damages multiplied or otherwise increased.

3. These Terms and Conditions constitute the entire agreement between Program participants and Sponsor pertaining to the subject matter hereof and supersede all prior or other arrangements, understandings, negotiations and discussions, whether oral or written. No waiver of any of the provisions of these Terms and Conditions shall be deemed or shall constitute a waiver of any other provisions hereof (whether or not similar), nor shall waiver constitute a continuing waiver unless otherwise expressly provided.

4. If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect.
